Valuations
To assist you in determining best strategic options for your Company, Whitehaven provides fair market valuations. (Fair market value is defined as the amount that reflects what the business would be valued in a sale between a buyer and seller who both have full knowledge of the facts and are under no duress). Our unique approach uses our proprietary ValGuard© diagnostic process which analyzes all specific industry metrics to ensure all your Company’s key intangible assets and attributes are fully recognized and valued in addition to tangible assets. The resulting FMV also identifies your Company’s strengths and weaknesses to help you identify and assess future planning needs and options.
Debt and Equity Sourcing
Debt Re-financing. Whitehaven evaluates your Company’s projected business needs, existing accounts receivables, cash flows and current banking agreements to determine debt service capacity for improving borrowing terms with an existing lender or alternatively, finding a new lender under more favorable terms. In some cases, this involves replacing a factor of receivables with a suitable lender providing a more appropriate commercial asset-based loan and/or line of credit (LOC) agreement. Sourcing areas include; commercial bank loans, recapitalizations, re-financings and mezzanine or subordinated debt.
Capital Raises/Equity Financing. For your Company’s business expansion, investment and/or acquisition needs, Whitehaven can also provide capital sourcing. Typically, this involves capital raising with private placements – in some cases with equity investments or in others, with preferred convertible instruments. Whitehaven can also leverage our access to capital sources including private equity firms and strategic investors.
M&A/Brokerage Services
For your Company’s business expansion, investment and/or acquisition needs, Whitehaven can also provide capital financing services. We have extensive experience in maximizing value for our clients, whether through a full or partial exit. For each assignment, we utilize our extensive network of relationships with strategic buyers and private equity firms actively investing in the security industry to ensure the optimum match and transaction for successfully meeting both your Company’s and your own personal sale needs and expectations.
Whitehaven’s comprehensive marketing process – includes using its proprietary ValGuard© method for both diagnostic analysis and exit/sale valuation to ensure all key intangible assets and attributes are fully recognized and valued in offering materials and related memoranda – and also to avoid any unfavorable discoveries during the buyer’s due diligence process.
Buyer-side support. In addition, Whitehaven offers your Company buy-side advisory services as a potential acquirer pursuing an M&A growth strategy. Using our curated proprietary list of over 650 independent security companies in North America, Whitehaven can expeditiously identify potential targets within the buyers search criteria. Our buy-side activities also include due diligence services using our proprietary checklists and advisory support during transaction negotiations – making Whitehaven an ideal resource for growth-oriented industry acquirers.
